Eligibility and account approval
Wholesale access is for legitimate resale businesses that provide accurate application and resale information. Approval is manual, is not guaranteed by submitting an application, and is nontransferable. The Honey & Bro Co. may suspend or close access for misuse, suspected fraud, nonpayment, or account-security concerns.
Account security and authorized buyers
Approved contacts access Shopify customer accounts using an emailed one-time code. The retailer is responsible for limiting account access to authorized buyers and for selecting the correct company and purchasing location before ordering.
Catalogue, pricing, MSRP and taxes
Retailers see the catalogue and account pricing assigned to them. MSRP is a merchandising reference only. Prices and availability may change until an order is completed. Retailers are responsible for accurate resale and tax documentation and for lawful resale of purchased products. These terms do not create a minimum advertised price policy.
Order minimums
The minimum opening order is $150 and the minimum reorder is $100. The Honey & Bro Co. may update minimums prospectively with notice, but a new threshold will not be applied retroactively to a completed order.
Order submission and acceptance
Adding products to a cart does not reserve inventory. Orders remain subject to confirmation, payment, and availability. If a line is unavailable, we may contact the buyer, adjust or cancel that line, and refund amounts charged for canceled lines. We will not substitute products without buyer approval.
Payment
Direct website wholesale orders are prepaid through secure Shopify checkout unless different payment terms are separately agreed in writing. Wholesale approval does not imply credit or net terms. The buyer is responsible for using an authorized payment method and providing accurate billing information.
Preorders and estimated timing
Preorder shipping windows are estimates and may change. We will communicate material delays. Available remedies and rights are those stated in the applicable notice or order-specific agreement and under applicable law. Split shipping is not automatic unless confirmed by us.
Shipping and delivery
Available shipping rates and methods are presented at checkout. The buyer is responsible for providing an accurate delivery address. Tracking is provided when available. Contact wholesale support promptly about a lost or damaged shipment so we can review the carrier and order information.
Inspection, claims, returns and exchanges
Inspect deliveries promptly. Report damaged, short, or incorrect items with the order number, affected items and quantities, and photos when applicable. Written authorization is required before returning merchandise. Non-defective return or exchange requests are reviewed case by case. Nothing in these terms limits rights that cannot be waived under applicable law.
Changes and cancellations
Request changes or cancellation promptly. They are not guaranteed after order processing or production commitments begin. Written confirmation from The Honey & Bro Co. controls whether a requested change or cancellation was accepted.
Product content, intellectual property and brand use
Retailers may use approved product content only to market authentic products they are authorized to resell. The Honey & Bro Co. names, marks, artwork, photography, and other assets remain owned by us or our licensors. Do not make misleading edits or claims. Permission to use supplied assets lasts only while the retailer is authorized to resell the applicable products.
Faire and other channels
These terms apply only to direct wholesale orders placed through The Honey & Bro Co. website. Orders placed through Faire or another marketplace are governed by that channel’s terms and the applicable order terms.
Privacy and communications
Shopify customer-account services and related providers process information needed to review applications, maintain accounts, and fulfill orders. We may send operational communications needed to service an application or order. Optional marketing is handled separately. See our Privacy Policy for more information.
Updates, severability and the order agreement
The terms version in effect when an order is placed applies to that order. An order-specific written agreement controls if it directly conflicts with these terms. If one provision is unenforceable, the remaining provisions continue to apply, while all nonwaivable rights are preserved.
